Aeropic Terms & Conditions of Business
Written quotations are valid for 30 days and will be supplied for all commissions on receipt of a clear written brief from you the client.
If a site survey is needed prior to the quotation this will be agreed in advance and may be invoiced separately.
Finished photographic materials are normally dispatched to the client within 10 working days from completion of the location work.
Photographic material will be supplied in a format specified in the quotation.
Payment
Full payment of the invoice must be paid within 30 days of dispatch of the finished materials.
The method of payment will be specified in the quotation.
This would normally by cash, Paypal or by crossed cheque made payable to "Edward Penman".
Aeropic reserves the right to add 10% per month to overdue or partly overdue accounts.
Cancellation
Notice of cancellation by the Client must be received in writing at least 7 days prior to any planned commission date to avoid a charge of 25% of the full quotation to recover expenses incurred in preparatory work undertaken on behalf of the Client.
Reproduction rights, moral rights and copyright
Reproduction rights are strictly limited to the use specified in the quotation.
Reproduction rights granted are personal to the Client and may not be assigned to any third parties unless specified in the quotation.
Reproduction rights of the commissioned material passes to the Client only upon full settlement of the final invoice.
Any reproduction rights granted are by way of licence and no partial or other assignment of copyright shall be implied.
The Client agrees to indemnify Aeropic in respect of any claims or damages or any costs arising in any manner from the reproduction without proper reproduction rights
of any photograph supplied to the Client by Aeropic.
Moral rights will always be required in that Aeropic is to be identified as
the author of the photographs and suitably credited whenever the photographs are published or displayed.
Aeropic retains copyright of all photographic images supplied and reserves the right to use any of the images for photographic library and other uses.
In the case of printed publications, one copies of the relevant publication containing any picture supplied are to be furnished to Aeropic free of charge within 1 month of publication.
Limitation of Liability and other constraints
Aeropic reserves the right to cancel the commission at any time should Aeropic determine conditions to be unsafe to complete the commission or for any other circumstances. Aeropic shall not be liable for any loss or damage suffered by the Client or by any
third party arising from cancellation of the commission.
Aeropic will always aim to complete its commission by any proposed completion dates but cannot guarantee completion by any specific dates and cannot be held responsible for any consequences involving the timing of the commission.
Aeropic cannot guarantee any specific shots but will aim to supply the best possible alternative shots and these will be deemed to fulfil the contract.
Aeropic shall not be liable for any loss or damage suffered by the Client or by any
third party arising from use or reproduction of any photograph.
In any event, the liability of Aeropic will be limited to the total value of the contract with no liability accepted for indirect and/or consequential loss.
This Agreement shall be subject to and constructed according to United Kingdom Law and the parties agree to accept the exclusive direction of the Courts of the United Kingdom.
No variation of terms and conditions set out herein shall be effective unless agreed in writing by both parties.
These Terms and Conditions are subject to change without notice.
